1. Definitions

• Affiliate Program – the system through which individuals or legal entities (“Affiliate”) can promote WHAPI.ro services and receive commissions.

• WHAPI.ro Platform – the SaaS service for WhatsApp API, chatbots, automation and campaigns, owned and operated by [SC ADDO VISION SOLUTIONS SRL], registered in Romania, with headquarters at [Company Address from whapi.ro/contact], Company ID: [CUI].

• Affiliate – any person or entity approved to participate in the Affiliate Program.

• Customer – a person or entity purchasing WHAPI.ro services through the Affiliate’s referral link, promo code, or approved integration.

• Commission – the amount payable to the Affiliate for an eligible sale.

2. Enrollment in the Program

2.1. Affiliates must complete the application form and accept these Terms and Conditions.

2.2. WHAPI.ro reserves the right to reject any application without the obligation to provide justification.

3. Rights and Obligations of the Affiliate

3.1. The Affiliate may promote WHAPI.ro services through referral links, banners, promo codes, or approved integrations.

3.2. The Affiliate is responsible for the accuracy of all promotional information.

3.3. The Affiliate is not allowed to:

• Use spam, cookie stuffing, or fraudulent techniques.

• Purchase ads containing the WHAPI brand without written approval.

• Mislead potential customers.

  3.4. The Affiliate must comply with tax legislation and issue valid invoices for payouts.

4. Rights and Obligations of WHAPI.ro

4.1. WHAPI.ro will provide the Affiliate with access to a dashboard showing clicks, conversions, and commissions.

4.2. WHAPI.ro will calculate and pay commissions according to Program rules.

4.3. WHAPI.ro may update these Terms and Conditions or suspend Affiliates that breach the rules.

5. Commissions and Payments

5.1. The standard commission is 40% of the net invoice amount (excluding VAT) paid by referred customers.

5.2. The Affiliate may choose to offer discounts to customers, deducted from their own commission. The net commission is calculated as:

Net Commission = (Subtotal × 40%) − Discount Provided

5.3. Commissions are paid monthly, after the 15th of the following month, for confirmed non-refunded amounts.

5.4. The minimum payout threshold is 100 EUR (or equivalent in RON).

5.5. Payments are made via bank transfer or another agreed method.

5.6. In case of refunds, chargebacks, or cancellations, commissions will be reversed.

6. Eligibility and Attribution

6.1. A customer is attributed to an Affiliate if they use the Affiliate’s referral link, promo code, or approved technical integration.

6.2. Attribution models (first-touch / last-touch) are defined in the affiliate dashboard.

6.3. WHAPI.ro may apply eligibility rules (e.g., only the first invoice, all invoices, or first N invoices).

7. Limitations and Suspension

7.1. WHAPI.ro may suspend or terminate an Affiliate account if:

• Fraudulent or illegal practices are used.

• The Affiliate damages the company’s image.

• The Affiliate breaches these Terms and Conditions.

  7.2. Commissions generated through fraud will not be paid.

8. Intellectual Property

8.1. The Affiliate receives a non-exclusive right to use promotional materials provided by WHAPI.ro.

8.2. All trademarks, logos, and trade names remain the exclusive property of WHAPI.ro.

9. Limitation of Liability

9.1. WHAPI.ro does not guarantee a specific earning level for Affiliates.

9.2. WHAPI.ro is not liable for indirect losses, damages, or unrealized profits of the Affiliate.

10. Modifications

10.1. WHAPI.ro may update these Terms and Conditions with 30 days’ prior notice.

10.2. Continued participation in the Program constitutes acceptance of changes.

11. Governing Law and Jurisdiction

11.1. These Terms are governed by Romanian law.

11.2. Any dispute will be settled by the competent Romanian courts.
